TERMS & CONDITIONS

1. Services Provided

Helpious provides design and development services for small and local businesses, including:

• UI/UX design
• Front-end development
• CMS setup (where applicable)
• Custom enquiry/booking form creation
• Hosting configuration (not hosting itself)
• Domain configuration
• Basic SEO setup
• Ongoing maintenance (optional)

We do not provide:

• Legal advice
• Marketing guarantees
• Guaranteed SEO ranking positions
• Unlimited technical support
• Custom-coded software unless agreed in writing

2. Free Prototype

We may offer a free website prototype before payment.

Conditions:

• The prototype is for preview only.
• It is not a functioning website.
• It cannot be reused, copied, downloaded, or repurposed.
• Helpious retains full ownership and intellectual property until payment is complete.
• No source files, code, or assets are provided until payment.
• The free prototype is NOT a contractual obligation to proceed.

3. Payments

All pricing is displayed on the website.

3.1 Payment Terms

• 100% payment is required before final delivery or domain connection.
• Monthly maintenance is prepaid monthly.
• No refunds are provided once work has started or delivered.
• All payments are in AUD unless stated otherwise.

3.2 Additional Costs

The Client is responsible for purchasing:

• Domain name
• Hosting plan (if not using our hosting setup)
• Third-party tools (plugins, email services, booking apps, etc.)

4. Revisions

Each package includes a limited number of revisions:

• Starter → 1 revision
• Standard → 2 revisions
• Premium → 3 revisions

Additional revisions will incur extra fees. Revisions must be requested within 14 days of receiving the prototype/draft.

5. Client Responsibilities

To provide a functioning website, the Client must provide:

• Business details
• Written content (unless copywriting is purchased)
• Branding assets (logo, images, colours)
• Accurate contact details
• Timely feedback

5.1 Copyright Compliance

The Client agrees that:

• All content, images, videos, and materials they provide belong to them
• OR they have legal permission to use them
• Helpious is NOT responsible for copyright violations caused by client-provided content.

6. Delivery Timeline

Estimated timelines:

• Starter → 2–3 days
• Standard → 5–7 days
• Premium → 7–10 days

These may change based on:

• Missing content
• Client delays in approval
• Third-party issues
• Additional requests
• Scope changes

We are not responsible for delays caused by the Client or external service providers.

7. Third-Party Services & Advertising

Our websites may connect with or display content from third-party tools and services, including but not limited to:

• Google AdSense
• Firebase
• Vercel
• Google Analytics
• SendPulse
• Hostinger
• Stripe
• Booking widgets
• Chat widgets

These services have their own Terms of Use and Privacy Policies. Helpious is NOT responsible for:

• The content or accuracy of third-party advertisements.
• Third-party outages, policy changes, or security breaches.
• Fees charged by third-party providers.

8. Website Hosting & Domain

Helpious can assist in setting up:

• Hosting
• DNS
• Domain connection
• SSL installation

But Helpious does not own or control your domain or hosting. We are NOT responsible for:

• Hosting downtime
• DNS propagation delays
• Server outages
• Email disruptions
• Loss of website due to external provider issues

9. No Guarantee of Results

We do not guarantee:

• Specific SEO ranking
• Increase in sales
• Increase in traffic
• Google Ads results
• Lead volume
• Search engine indexing timeframes

Web performance depends on multiple factors outside our control.

10. Intellectual Property

Before full payment:

• All designs, prototypes, code, and assets belong to Helpious.

After full payment:

• Client receives full rights to USE the final website for business purposes.

Helpious still retains rights to:

• Display the website in our portfolio
• Mention the project in marketing
• Display the design in case studies

11. Limitation of Liability

To the maximum extent permitted by law, Helpious is NOT liable for any direct or indirect damages, including but not limited to, loss of revenue, loss of data, business interruption, or damages arising from the use of our website, our services, or third-party services and advertisements displayed on our site. Your website is delivered "AS-IS" with no warranties beyond what is explicitly agreed.

12. Indemnity

You agree to indemnify Helpious from claims, damages, or losses arising from:

• Copyright violations from content you provide.
• Illegal business practices.
• Misuse of the website.
• Incorrect information you provided.
• Third-party service issues.

13. Termination

Helpious may terminate service if:

• Payment is not made
• Abuse, harassment, or unacceptable behavior occurs
• Fraud is suspected
• These Terms are violated

No refunds are provided for terminated services.

14. Governing Law

These Terms are governed by the laws of Australia (Northern Territory). Any disputes will be handled under NT jurisdiction.
